These terms govern use of untappedgenius.org, both the public marketing site and Genius OS, the signed-in platform UnTapped Genius (“UG,” “we,” “us”) uses to manage partnership work with districts and campuses. By browsing the site or signing in to use Genius OS, you agree to these terms.
Anyone browsing untappedgenius.org is covered by these terms. Genius OS itself, the signed-in application, is used by UG staff and consultants and by leaders at UG’s partner districts and campuses to manage and report on partnership work together. Those accounts are provisioned or invited by UG rather than opened through public self-signup.
These terms govern your use of the Genius OS platform itself: your account, acceptable use, and what you can expect from us as a software provider. They’re separate from the signed service agreement between UG and your district that covers the underlying partnership, consulting services, fees, and term. If something in a signed service agreement or a countersigned Data Processing Agreement conflicts with these terms, the signed agreement controls for the topics it covers; these terms fill in the rest, including for anyone using the platform who isn’t personally a party to that agreement. This explicitly includes indemnification, limitation of liability, and dispute resolution: where your district has a signed service agreement with UG, that agreement’s terms on those topics govern instead of the Indemnification, Limitation of liability, and Governing law sections below, which apply in full only where no such signed agreement is in effect, for example if you’re browsing the public site without a district relationship to UG at all.
Accounts are provisioned or invited by UG for UG staff and consultants and for authorized staff at partner districts and campuses; there’s no public self-signup. Provide accurate information when asked, keep your sign-in credentials confidential, and don’t share your account with anyone else, including coworkers. You’re responsible for activity on your account. Let us know right away at ug@untappedgenius.org if you suspect unauthorized access. We may require additional security measures, such as multi-factor authentication, and may suspend an account without advance notice if we believe it’s compromised or being used to threaten the security of the platform or other users’ data.
Use Genius OS only for its intended purpose: managing and reporting on UG partnership work. Specifically, don’t:
You keep ownership of the goals, evidence, reports, and other content you submit through the platform. You grant UG a license to store, process, and use that content to operate Genius OS, provide it to authorized users within your district’s scope, and support the underlying partnership, including internal reporting. We don’t sell that content or use it for advertising, and we don’t use it for purposes unrelated to providing the platform and the partnership it supports; see our Data Processing Agreement for the fuller description of how we process it. By submitting content, you represent that you have the right to do so and that it doesn’t infringe or violate a third party’s rights.
Genius OS itself, including its design, software, and UG’s branding, belongs to UG and is protected by applicable intellectual property law. These terms don’t grant you rights to any of it beyond using the platform as intended. If you send us feedback or suggestions about the platform, you agree we can use them without restriction or obligation to you.
Genius OS relies on third-party infrastructure and services to operate, listed on our Subprocessors page. Those providers have their own terms and service commitments, and we’re not responsible for outages, defects, or changes in a third-party service that are outside our reasonable control, though we’ll work to restore normal operation and keep you informed if one affects the platform.
We work to keep Genius OS available and reliable, including through the practices described on our Security Overview page, but we don’t guarantee uninterrupted or error-free operation. We may modify, add to, or discontinue features of the platform over time. Where a change is material and affects how you use Genius OS day to day, we’ll make a reasonable effort to give you advance notice.
Our Privacy Policy explains what information we collect, including through Google Sign-In, and how we use it. It’s part of these terms.
Genius OS is provided “as is” and “as available.” We work to keep it reliable and accurate, but we don’t guarantee it will be uninterrupted, error-free, secure against every possible threat, or fit for any particular purpose beyond its intended use. To the extent permitted by law, we disclaim all other warranties, express or implied.
You agree to defend and indemnify UG against third-party claims, losses, and reasonable expenses arising from your violation of these terms, your misuse of the platform, or content you submit without the right to do so, except to the extent caused by UG’s own breach of these terms or violation of law.
To the extent permitted by law, UG isn’t liable for indirect, incidental, special, consequential, or punitive damages arising from your use of Genius OS, even if advised of the possibility. UG’s total liability arising from these terms or your use of the platform is capped as articulated in the signed service (partnership) agreement between UG and your district; these terms don’t create a separate or additional liability cap. If no service agreement is in effect between UG and your district, or it doesn’t address liability, UG’s total liability arising from these terms is limited to the fees paid for access to Genius OS in the twelve months before the claim arose. Nothing in these terms limits liability that can’t be limited under applicable law.
We can suspend or end your access to Genius OS, including if your role or partnership with UG ends, if these terms are violated, or if we reasonably believe suspension is needed to protect the security of the platform or other users’ data; where practical, we’ll give you notice first. You can ask us to deactivate your account at any time. When your district’s partnership with UG ends, data export and deletion are handled as described in our Data Processing Agreement. The sections of these terms that by their nature should survive termination, including Content you submit, Our content, No warranty, Indemnification, Limitation of liability, and Governing law, continue to apply after your access ends.
Neither UG nor you is liable for a failure or delay in performance caused by circumstances reasonably outside that party’s control, including outages at a third-party infrastructure provider, natural disaster, or a widespread internet or power disruption.
You may not assign or transfer your rights under these terms without our consent. UG may assign these terms in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee agrees to be bound by these terms.
If a provision of these terms is found unenforceable, the rest remain in effect and the unenforceable provision will be interpreted to best reflect its original intent. Our failure to enforce a provision isn’t a waiver of our right to enforce it later.
We may update these terms from time to time. We’ll update the “Last updated” date above when we do, and where a change is material, we’ll make a reasonable effort to notify active users, such as by email or an in-app notice, before it takes effect. Continued use of Genius OS after a change takes effect means you accept the updated terms.
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and any dispute not otherwise resolved through the service agreement between UG and your district will be brought in the state or federal courts located in Texas. Nothing in these terms waives, or should be read as waiving, any governmental or sovereign immunity available to a partner district or its personnel under Texas law, and nothing here expands the remedies available against a district beyond what its signed service agreement with UG and applicable law provide.
Together with our Privacy Policy and, where one is in place, a signed service agreement and Data Processing Agreement, these terms make up the entire agreement between you and UG regarding use of Genius OS, and supersede any earlier understanding on that subject.
